1. Definitions & Interpretation

In these Terms & Conditions (“Terms”), the following definitions apply:

“Company”, “we”, “us”, “our” means TeenRiver Inc.
“Customer”, “you”, “your” means any person purchasing Products from us.
“Products” means the goods offered for sale via our website www.teenriver.com.
“Website” means TeenRiver’s e-commerce website.
“Order” means your order for Products placed via our Website.
Headings are for convenience only and do not affect interpretation.

2. Acceptance of Terms

By accessing or using the Website, placing an Order or otherwise engaging with TeenRiver’s services, you agree to be bound by these Terms. If you do not agree, you must not use our Website or place an Order.

3. Eligibility & Account

You must be at least 18 years of age, have legal capacity to enter binding contracts and be resident in a region where Products can be shipped. You agree to provide us with current, complete and accurate registration/account information and maintain that information as up to date.

4. Products, Pricing & Payment

All Products are described on the Website. We make every effort to ensure accuracy of pricing and descriptions, but we reserve the right to correct errors.
Prices are in United States Dollars (USD) or other currency as displayed. Payment must be made at the time of Order.
We accept the payment methods listed on our Website (for example MTN MoMo, Orange Money, Credit/Debit Cards) and any other method we may notify you of. Payment is processed once you submit your Order.
You agree that we may verify your payment information and that your Order may be cancelled if we cannot process or verify payment.
Risk associated with payment or card chargebacks, disputes or fraudulent transactions remains your responsibility; you must notify us promptly if you believe a fraudulent transaction has occurred.

5. Shipping, Delivery & Risk of Loss

We ship Products to the address you specify when you place your Order. Shipping is subject to our Shipping Policy (linked on our Website) which forms part of these Terms.
You are responsible for ensuring your delivery address is correct. If you provide an incorrect address, leading to non-delivery, you are responsible for any additional cost.
Ownership of the Products and risk of loss or damage passes to you at the time the Product is delivered to the carrier for shipping (or collected by you, if applicable).
Delivery times are estimates only and commence from the date of dispatch, not the date of Order. Delays may occur, and we shall not be liable for shipping delays outside our reasonable control.

6. Returns, Refunds & Exchanges

Our Returns, Refunds & Exchanges Policy (linked on our Website) sets out when you may return Products, how to make a request, and any fees. That policy forms part of these Terms.
You agree that we may refuse a return or refund if you do not comply with the policy conditions (e.g., Products materially damaged or used beyond inspection for defects).
Refunds will be processed using your original payment method unless otherwise agreed.
We reserve the right to deduct restocking fees or costs associated with shipping or handling where indicated in our policy.
Customers should contact the vendor directly regarding refunds or exchanges.
If a vendor fails to resolve a dispute, Teenriver may mediate in accordance with our marketplace policy.
Refunds will only be processed through Paystack to the original payment source, subject to Paystack’s dispute-resolution procedures.

7. Intellectual Property

All content on the Website (including text, graphics, logos, images, product listings, software) is our property or licensed to us and protected by intellectual property laws. You may view, use or print pages or product listings solely for placing an Order with us. Any other use is strictly prohibited without our express written permission.

8. User Representations & Prohibitions

By using the Website and placing an Order you represent that you will not:

Violate any applicable laws or infringe third-party rights.
Use the Website to upload malicious code, spam, or otherwise interfere with its operation.
Attempt to mislead or defraud us, including by using false details, duplicated accounts, or chargeback abuse.
Resell Products you purchase from us without prior written consent.
We reserve the right to suspend or terminate your account/Orders where these Terms are breached.

9. Limitation of Liability & Disclaimer of Warranties

Our Products and services are provided “as-is” and “as-available” without warranties of any kind, whether express or implied.
We disclaim any warranty that the Website or Products will meet your expectations or that errors will be corrected.
To the fullest extent permitted by law, our total liability under or in connection with these Terms shall not exceed the amount you paid for the Products giving rise to the claim. We shall not be liable for indirect, incidental, special or consequential damages (such as lost profits, loss of data or business interruption).
We are not liable for indirect, incidental, or consequential damages, payment delays, or third-party failures, including payment-processor issues beyond our control.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

10. Indemnification

You agree to defend, indemnify and hold harmless TeenRiver Inc., its officers, directors, employees and agents from any claim, loss, liability, cost or expense (including legal fees) arising out of your breach of these Terms, your access or use of the Website, or your violation of any law or the rights of a third party.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Liberia. You and we agree to submit to the non-exclusive jurisdiction of the courts of Liberia for any dispute arising out of these Terms.
If any dispute cannot be resolved amicably within thirty (30) days, either party may refer to binding arbitration in Liberia accordance with applicable arbitration legislation.

12. Amendments

We may revise these Terms at any time by posting the revised Terms on the Website. Your continued use of the Website after changes are posted constitutes acceptance of the new Terms. It is your responsibility to review the Terms periodically.

13. Termination of Use

Teenriver may suspend or terminate your account if:

You violate these Terms or Paystack’s Acceptable Use Policy;
We detect fraudulent or suspicious activity; or
Required by law or regulatory directive.
Outstanding transactions or disputes will continue to be governed by these Terms.

14. Privacy and Data Protection

Teenriver and Paystack comply with the Data Protection Act 2012 (Act 843) of Ghana.

Personal data collected during purchases or registration will only be used for legitimate business and payment purposes.
We do not sell or disclose your information to third parties except as required by law or payment processing.

15. Prohibited Activities

You may not use Teenriver or Paystack to:

Facilitate money-laundering or terrorist financing.
Sell prohibited, restricted, or counterfeit goods.
Circumvent applicable financial or consumer-protection laws.
Violation of these rules may lead to immediate suspension and reporting to regulatory authorities.

16. Payments and Processing

Payments on Teenriver are processed through Paystack Ghana Ltd using card, mobile money, USSD, and bank channels.
All payments are encrypted and securely processed via Paystack’s payment gateway.
Teenriver and Paystack may suspend or decline transactions suspected to be fraudulent or illegal.
Settlement timelines follow Paystack’s policies (typically T + 1 business day for local transactions).

17. Merchants and Customers

Teenriver operates both as a content platform and a multi-vendor marketplace.

Vendors are independent sellers responsible for their listings, products, pricing, and customer service.
Teenriver provides the infrastructure and payment channel but is not liable for disputes between customers and vendors.
Vendors must comply with all KYC (Know Your Customer) requirements and maintain accurate contact and business information.

18. Use of Our Platform

You must be at least 18 years old to use Teenriver or to make payments through Paystack.
You agree to use our site only for lawful purposes and in compliance with all applicable Ghanaian laws and Paystack’s Acceptable Use Policy.
You may not use Teenriver or Paystack services to conduct fraudulent, misleading, or illegal transactions.

These Terms and Conditions govern your access to and use of our website, marketplace, and related payment services. By accessing or using Teenriver, you agree to comply with these Terms and our Privacy Policy.

Teenriver is partnered with Paystack Ghana Ltd, a licensed Payment Service Provider under the Bank of Ghana, to process electronic and mobile-money payments in accordance with the Paystack Merchant Service Agreement (MSA).
